When you visit the I LEARN AMERICA Site owned or managed by I LEARN AMERICA LLC, register as a teacher or student on I LEARN AMERICA, or otherwise use the products or services offered by I LEARN AMERICA, you become a “User” for purposes of this Agreement and you agree to be legally bound to and to abide by the Terms and our Privacy Policy.

Your use of the Site constitutes your agreement to abide by these Terms. Please regularly consult these Terms in order to be aware of updated practices.

1. User Consent to the Terms

3. Registration by Teachers or Students
By registering on I LEARN AMERICA, you certify that you are a teacher or student at an educational institution and that you are using I LEARN AMERICA for its intended educational goals. If you are a student, by using this site you certify that you are using I LEARN AMERICA with the permission of your parent, legal guardian, or a teacher or school administrator with the ability to provide consent on your behalf.

While I LEARN AMERICA has security procedures in place, teachers and students use I LEARN AMERICA at their own risk, and as with any other online activity, must be vigilant on a regular basis.

4. Proprietary Rights

A. Site Content
By accessing or using the Site, you acknowledge that all of the materials, information, publications on the Site (including, without limitation, text, software, code, graphs, photographs, videos, stills, graphics, music, sound, and site code, such as source code, scripts, object code, and software) (“Content”) are protected by copyrights, trademarks, or other proprietary rights. The trademarks, logos, and service marks (collectively, the “Trademarks”) displayed on the Site, including, but not limited to, “I LEARN AMERICA”, are registered and unregistered Trademarks of I LEARN AMERICA and others. You may not use the Trademarks without the express written permission of I LEARN AMERICA LLC. Any and all goodwill generated by the trademarks will inure to the benefit of I LEARN AMERICA LLC.

You may not use any of I LEARN AMERICA’s proprietary logos, marks, or other distinctive graphics, video, or audio material in your links. You may not link in any manner reasonably likely to (i) imply affiliation with or endorsement or sponsorship by I LEARN AMERICA LLC; (ii) cause confusion, mistake, or deception; (iii) dilute I LEARN AMERICA LLC’s trademarks, service marks, or trade names; or (iv) otherwise violate applicable law.

Modification of the Content or use of the Content in any manner that directly or indirectly suggests an association with I LEARN AMERICA LLC is strictly prohibited.

6. Restrictions on Use
Everything you see or read on the Site is the property of I LEARN AMERICA LLC or duly licensed to I LEARN AMERICA LLC by a third party. This property and material are protected by copyright and trademark laws, and may not be used without written consent of I LEARN AMERICA, except as provided in these Terms.

I LEARN AMERICA LLC maintains copyright protection in, or has obtained a license to use, all Content on this Site. You may not copy, distribute, republish, cache, link, modify, transmit, or in any way use the Content of the Site for public or commercial purposes without I LEARN AMERICA LLC’s written permission.

8. Confidential Information
If you register to participate in a I LEARN AMERICA project, you will be exposed to private and confidential information, such as students’ Personal Information, thoughts, and writings (“Confidential Information”). You agree that you will not – during the course of your participation in any I LEARN AMERICA session or at any time thereafter – use, disclose or otherwise make available to any third party any Confidential Information, except as permitted below.

You may only disclose Confidential Information in the following circumstances: 1) when required by a judicial order or decree or governmental law or regulation, but only after you have notified I LEARN AMERICA LLC reasonably in advance of such disclosure; or 2) the information becomes generally available publicly without restriction and without breach of confidentiality obligations owed to I LEARN AMERICA LLC.

Any improper collection or misuse of Confidential Information or other information accessible on the Site is a violation of the I LEARN AMERICA’s Privacy Policy and should be reported to ilearnamerica@gmail.com

9. Submissions and User Content
Any submission that you make or send to I LEARN AMERICA LLC will be treated as non-confidential and nonproprietary and may be used by I LEARN AMERICA LLC and its affiliates without compensation, for any purpose, including without limitation, the development and/or provision of products and services. All personal data submitted to this Site will be used by I LEARN AMERICA LLC in accordance with our Privacy Policy.

By submitting your User Content to the Site, you grant I Learn America LLC a worldwide, perpetual, non-exclusive, royalty-free, sub-licensable, and transferable license to use, reproduce, distribute, and display the User Content on the Site and in any media formats and through any media channels now known or hereinafter invented or discovered for any purpose consistent with the mission of I Learn America LLC and specifically in the “I Learn America” project, which may be posted to the Site and may also be exploited via any mean and media worldwide in perpetuity. Such license includes all rights and permissions to reproduce your likeness, name and any other personal information that you choose to submit as part of the User Content. You represent and warrant that you have all rights necessary to grant the foregoing rights and permission and that no infringement or violation of any third party rights, including copyright, right of publicity, or right of privacy, will result from the use of the User Content. You also grant each user of the Services a non-exclusive license to access your User Content. You understand that you will not be entitled to any compensation for the rights and release granted herein or for any use of the User Content and that I Learn America LLC shall have no obligation to make any use of the User Content on the site or in the documentary film. You further understand and agree that I Learn America LLC will act in reliance on these Terms and that therefore your agreement will be irrevocable. You hereby waive any rights to injunctive relief with regards to the Site and the I LEARN AMERICA project.

While you do not have to include your name, your likeness, or any other specific information in the User Content you submit, if your User Content conveys your name, your likeness, or other identifying information, you understand that this information along with your User Content may be displayed on the Site. Accordingly, please review your User Content carefully prior to submission to ensure its accuracy and ensure it contains no information that you are not comfortable sharing.
Notwithstanding anything herein to the contrary, I Learn America LLC cannot guarantee complete confidentiality or anonymity with respect to your User Content. You can disable access to your User Content by contacting us with a written request to disable access to your User Content, including sufficient details in your request to identify and disable such User Content. We aim to maintain our services in a manner that protects information from accidental or malicious destruction. Because of this, after you request the disablement of access to your User Content, we may not immediately delete copies from our active servers and may not remove information from our backup systems. You retain all ownership rights in the User Content you submit.

I Learn America LLC reserves the right, in its sole discretion, to monitor User Content and to reject, remove, or decline to post any User Content at any time, for any reason, without notice and at its sole discretion, including, without limitation, if it determines that User Content is inappropriate or fails to comply with these Terms. I Learn America LLC has no responsibility for the backup of any User Content or any lost data resulting from the use, operation, or discontinuation of any aspects of the Services.

Unless specifically requested, I Learn America LLC does not wish to receive any confidential, proprietary, or trade secret information from you via the Site (including via contact email made available on the Site). Accordingly, if you send I Learn America LLC any information or creative works including, without limitation, idea submissions, suggestions, business plans, concepts, or demos in any media including photographs, graphics, audiovisual media, or other material (“Submitted Material”) you grant I Learn America LLC a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive, and fully transferrable, assignable, and sub-licensable right and license to use, copy, reproduce, publish, translate, create collective works from, and distribute, display, license, and sublicense (through multiple levels) the Submitted Material in any media now known or hereinafter invented. If you send I Learn America LLC any Submitted Material, you also warrant that the Submitted Material is not confidential or secret and that the Submitted Material is owned entirely by you. If you send I Learn America LLC any Submitted Material, you warrant that you have all rights necessary (including rights of privacy and rights of publicity) to authorize I Learn America LLC to use Submitted Material as permitted by this license.

10. Interactions with Third Parties
Your interactions with organizations or individuals found on or through the Site, including payment and delivery of goods and services and agreement to any terms, conditions, warranties, or representations associated with such dealings, are solely between you and such organizations or individuals. Acceptable Use Policy
I LEARN AMERICA is an online community where students from around the world connect to learn together. Before using I LEARN AMERICA, teacher and student users MUST read and agree to the I LEARN AMERICA Privacy Policy and Terms of Use.

When using the I LEARN AMERICA platform, NEVER give out personal details such as first and last name, phone number, physical address, e-mail address, social media username, or any other types of identifying information. Because people may lie about their identity, be careful when interacting with strangers. DO NOT engage in any conversation that makes you uncomfortable.

All content and communications submitted on I LEARN AMERICA may be monitored for the purpose of maintaining a safe and respectful community.

Acceptable use of I LEARN AMERICA

• -Profile images and usernames must not be considered offensive in any way, including sexually explicit, profane, discriminatory, defamatory, or libellous material

• -Individuals must not use profanity, obscenities or derogatory remarks in communications
• -Do not send confidential or unprotected sensitive or personally identifiable information
• -Do not use I LEARN AMERICA to make personal gains, conduct business, or gamble

• -Never, under any circumstances, agree to meet someone in real life that you have met online
Consequences and enforcement
Members of the I LEARN AMERICA community should immediately report all inappropriate content, behavior and underage users by using the “Report” button located next to each message in the student experience, contacting the company via the in-application messenger, or by writing ilearnamerica@gmail.com with a detailed description of the content in question.

Violations of the I LEARN AMERICA Acceptable Use Policy will result in consequences consistent with their severity. Any violation of this policy will result in the notification of a student’s teacher. Repeated violations will result in suspension from the I LEARN AMERICA platform. If users of the I LEARN AMERICA community break the law or engage in illegal activities, law enforcement agencies will be contacted and the incident turned over to authorities.
